1. Agreement to Terms

By accessing or using SpinClaw, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, then you may not access the service. SpinClaw provides an orchestration layer to automatically provision, configure, and manage dedicated Virtual Private Servers (VPS) running the open-source OpenClaw framework.

2. Description of Service

SpinClaw is a managed infrastructure service. We do not own, develop, or maintain the core "OpenClaw" open-source software. We provide the automation to deploy this software onto hardware rented from third-party infrastructure providers (e.g., Hetzner).

By using our service, you are renting dedicated computing power configured specifically for running your own private AI agent.

3. User Responsibilities & Liability

• Agent Actions: You are solely responsible for the actions, messages, and operations performed by your deployed OpenClaw agent. SpinClaw is not liable for spam, abuse, or any violations of third-party terms of service (e.g., Telegram, Discord, WhatsApp) committed by your agent.
• API Keys: You must provide your own API keys (e.g., OpenAI, Anthropic, Google) to power the agent's intelligence. You are entirely responsible for the usage costs incurred with those providers. SpinClaw does not monitor or throttle your AI token usage.
• Lawful Use: You agree not to use the service to deploy agents that engage in illegal activities, harassment, distribution of malware, or network abuse. We reserve the right to immediately terminate nodes violating these terms without refund.

4. Subscriptions and Billing

SpinClaw operates on a subscription model based on the hardware resources allocated to your agent.

• Payment: You will be billed in advance on a recurring monthly basis.
• Cancellation: You may cancel your subscription at any time through the dashboard. Upon cancellation, your dedicated server and all associated data will automatically be destroyed at the end of the current billing cycle.
• Refunds: We offer a 7-day money-back guarantee for new subscriptions. After 7 days, payments are non-refundable.

5. Data Ownership and Privacy

As outlined in our Privacy Policy, you own all data residing on your dedicated node. SpinClaw does not intercept, log, or train on your agent's conversations or prompts. If you delete your server, the data is irradiance and permanently destroyed.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SPINCLAW MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS.

We do not warrant that the service will be uninterrupted, timely, secure, or error-free, particularly regarding external API dependencies (e.g., OpenAI downtime, Telegram API limits, or Hetzner network issues).

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
